Con un’operazione da poco meno di un miliardo di euro, Conad compra la quasi totalità delle attività in Italia di Auchan e si proietta in testa alla classifica della grande distribuzione, superando la Coop. A passare alla Conad è buona parte dei 1.600 punti vendita tra ipermercati, supermercati, negozi di prossimità con i marchi Auchan e Simply.
«Siamo soddisfatti di aver acquisito e riportato nelle mani di imprenditori italiani una rete di distribuzione di grande valore, che sta attraversando un periodo di difficoltà ma che ha grandi potenzialità ed è complementare a quella di Conad - commenta Francesco Pugliese, ad di Conad -. Oggi nasce una grande impresa italiana, che porterà valore alle aziende e ai consumatori italiani». Per il perfezionamento dell’acquisizione servirà il via libera dell’Antitrust. Dall’accordo restano fuori 33 supermercati gestiti da Auchan Retail in Sicilia e 50 drugstore Lillapois.
Con l’acquisizione, Conad, finora secondo gruppo della grande distribuzione, ingloberà il quinto e diventerà così il leader in Italia, scalzando la Coop. La quota di mercato salirà dal 13 al 19% mentre il fatturato aggregato, su base pro-forma e facendo riferimento ai dati 2018, si attesterà a 17,1 miliardi di euro. Il passo indietro dei francesi, che sono stati seguiti dal Credit Agricole, è stato dettato dalle difficoltà di rilanciare le loro attività nel nostro Paese: nel 2018 Auchan Italia è stata svalutata per 440 milioni contribuendo alla perdita di quasi un miliardo di euro del gruppo.
Conad è stata assistita da WRm Group, società specializzata nel real estate commerciale, e dagli advisor di Pwc. In particolare Wrm group è una società che fa capo al finanziare Raffaele Mincione. Proprio Mincione diverrà proprietario degli immobili di Auchan Retail Italia, che affitterà a Conad.
